How Final works
Final is a neutral contract negotiation platform that helps you and your counterparties finalize contracts faster. Final uses both parties' starting templates to immediately generate the contract they are most likely to agree on. This allows parties to start contract review close to the endpoint rather than from one side's opening template. If the parties do not immediately agree, Final keeps working toward agreement. During the private beta, Final is designed for routine commercial NDAs.
Upload and invite
Add your template, invite the other party, and add any team members from your side. The other party then adds their template and team members. Templates will be visible to the other party.
Finalist generated
Final's AI prepares a potential final version (a Finalist) that reflects what the parties would likely agree to based on both templates and common market practice. Each side reviews the Finalist (tracked changes provided) and privately approves or submits a markup.
Agree or repeat
If both sides approve, the contract is finalized without either party drafting anything. If not, markups are submitted instead. If a markup contains changes, a new Finalist is prepared and the process repeats, for up to three Finalist rounds. If the responses do not provide a new basis for another Finalist, the negotiation moves to direct exchange.
Direct exchange (if necessary)
One party's markup is automatically sent to the other party to open direct exchange, with tracked changes against the most recent Finalist. Markups are then exchanged directly, each delivered with a comparison generated by Final, until one is accepted and the contract is finalized. Final's AI does not review direct exchanges.
Final is not a law firm and does not represent either party. For the details on visibility and conversion, see What can the other party see? and When does direct exchange begin?
Why Final
Routine, high volume contract negotiations slow down business and tie up your legal team. Final helps solve this by:
Eliminating the initial back-and-forth: Final prepares a potential final version before lawyers spend any time reviewing a one-sided template.
Working immediately: Final does not require any playbooks, integrations or setup. Upload a template and start today.
Speeding up your business. Slow negotiations shouldn't hold up transactions and revenue.
Enabling higher productivity: By helping legal teams finalize more contracts faster, your team is freed up for higher-value work.
Making you easier to do business with: Final is free for the other party and also gives them a faster way to finalize their contracts with you.
Why Final is different
Most AI legal tools are designed for a single side to draft, review, or markup. This often results in each party using separate tools to slowly reach a middle ground.
Final works for the deal, not for one side. It turns two templates directly into a potential final version close to where the negotiation would likely have ended up. Final's AI follows specific rules for resolving conflicting provisions, informed by common market practice and real-world negotiation experience.
Final was built by a transactional lawyer who spent many years handling the same negotiations this platform is designed for. This is the tool he wished he had.
Professional Standards
Every decision remains with the lawyers. Final does not provide legal advice, does not create an attorney-client relationship, and does not replace legal judgment. It does not pick sides, force any particular outcome, or lock parties into any specific process.
