Do I see the other party's markups?

No. During AI review, markups go to Final, not across the table; each side's positions flow into the next Finalist. Approvals are private unless agreement is mutual, and that is only possible because markups are private too: if documents were exchanged each round, a party who approved (and so submitted nothing) would be revealed by the absence of a markup. Markups stay private while Final prepares new versions so that approving never exposes you. Each round you receive the Finalist, tracked changes against your side's previous version, and a summary prepared for your side. If the negotiation moves to direct exchange, documents are then exchanged directly.

What can the other party see?

Documents: both templates become visible to the parties when Finalist review begins. During AI review, your markups stay private; your positions shape each draft, but the other party never sees your documents. In direct exchange, documents go to the other party directly.

Decisions: whether you approved or revised is never visible to the other party unless agreement becomes mutual.

Words: chat and messages you address to the other party are visible to both sides. Final's AI reads only the documents.

What may be shared later: your template becomes visible to the other party when Finalist review begins. Any markup you submit may also be shared: if the negotiation moves to direct exchange, it opens with one side's most recent markup, and that side may be yours. Conversion can follow any round, so draft every markup accordingly.

What counts as an NDA?

An NDA counts toward your monthly total only when Final prepares the first Finalist. Inviting a counterparty costs nothing: a declined or unanswered invitation never uses one.

When does direct exchange begin?

Final always prepares the first version. If both sides approve a Finalist, the contract is final. If a markup contains changes, Final prepares another Finalist, up to three in total. If the markups only repeat prior positions, the negotiation moves to direct exchange automatically. The same happens after the third Finalist. One side's most recent markup is sent to the other party to open the exchange, along with a comparison generated by Final. From then on, documents go directly between the parties.
